Valuation for investment and M&A
Capstone helps investors and owners understand value before an acquisition, merger, new investment or ownership change in Georgia. We assess the business or assets, examine available financial information and test the assumptions behind the transaction. The valuation provides an independent reference for negotiation and decision-making, with uncertainty explained rather than hidden.
Scope and deliverables
Company and share valuation
We define the business or ownership interest being valued, review performance and prospects, and select suitable income, market or asset-based methods. The rights and limitations of the interest are considered in the scope.
Investment scenarios
We examine forecasts, funding needs and key value drivers. Scenario and sensitivity analysis show how changes in performance, costs or timing may affect the conclusion.
Acquisition and restructuring support
We can value individual assets or an agreed business perimeter as part of an acquisition or reorganisation. Any separate due diligence or purchase-price-allocation work is scoped explicitly.
When to commission a valuation
- Acquiring or selling a business or ownership stake
- Introducing a new investor or partner
- Evaluating a merger or restructuring
- Comparing investment options and transaction scenarios
Preparing the assignment
Information to prepare
Send the asset or company details, intended use, valuation date and recipient requirements. We confirm access, documents, timing and fees before starting.
How a valuation works
Tell us about the task
Send us the property or company, the purpose and any documents you have. We confirm the scope, timing and fee in writing before we start.
Inspection and analysis
We inspect the asset, research the market and apply the methods that fit the purpose of the valuation.
Report and explanation
You receive a signed report in Georgian or English, and we walk you through how we reached the conclusion.
Frequently asked questions
Does the valuation include buyer-specific synergies?
Only where the agreed basis and scope call for them. We distinguish market-participant assumptions from benefits specific to a particular buyer.
Is due diligence included?
Not automatically. Valuation and due diligence answer different questions; the required financial, legal or technical reviews must be separately scoped.
What information is needed?
Recent financial statements, management accounts, forecasts, ownership details and the proposed transaction structure. We discuss gaps and assumptions before finalising the scope.
